CloudOp Nutrition — Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Terms”) govern your participation in the CloudOp Nutrition LLC Affiliate Program (“Affiliate Program” or “Program”) offered by CloudOp Nutrition (“CloudOp,” “we,” “us,” or “our”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, do not apply, participate, or promote CloudOp Nutrition products in any way.

1. Eligibility Requirements

  • Be at least 18 years old.
  • Submit accurate and complete information during the application process.
  • Maintain an active social media presence, website, or platform suitable for promoting CloudOp products.
  • Agree to comply with all applicable laws, including FTC endorsement guidelines, advertising laws, and tax requirements.

CloudOp reserves the right to approve, reject, or remove any Affiliate at any time, for any reason or no reason, at our sole discretion.

2. Enrollment in the Program

You must submit an application through the CloudOp Affiliate registration process. We review applications on a case-by-case basis and may request additional information. Your participation is considered active only after you receive written confirmation of acceptance and are provided with your unique affiliate code (“Affiliate Code”) or tracking link.

3. Affiliate Obligations

As an Affiliate, you agree to:

  • Promote CloudOp products with honesty, accuracy, and integrity.
  • Use only approved messaging, images, or content provided by CloudOp, unless otherwise authorized in writing.
  • Clearly disclose your affiliate relationship in all posts, promotions, and communications.
  • Avoid making false, misleading, or unsubstantiated claims about CloudOp products.
  • Avoid any statements implying medical, therapeutic, or disease-curing claims.
  • Follow all FTC guidelines and applicable advertising laws.
  • Maintain professional conduct online and offline when representing CloudOp.

Failure to comply may result in termination from the Program and forfeiture of commissions.

4. Prohibited Conduct

Affiliates must NOT:

  • Use unapproved discount codes or manipulate codes for personal purchases.
  • Offer additional discounts beyond the approved Affiliate Code.
  • Use unauthorized paid advertising (including brand bidding on Google, Facebook, Instagram, TikTok, etc.) without written approval.
  • Use CloudOp trademarks, logos, or branding in domains, ads, URLs, coupons, or account names.
  • Promote CloudOp in a manner associated with hate, violence, discrimination, illegal activity, adult content, or unethical behavior.
  • Create fake accounts, fake orders, or any fraudulent activity.
  • Misrepresent themselves as CloudOp employees or official representatives.
  • Share internal, confidential, or non-public CloudOp information.

Any violation will result in immediate termination and loss of commissions.

5. Affiliate Commissions

Affiliates earn commissions on eligible purchases made using their unique Affiliate Code or tracking link. Commission details:

  • Commission percentage is determined by CloudOp and may vary or change with notice.
  • Commissions apply only to qualifying, completed customer purchases.
  • Commissions are not earned on canceled, refunded, fraudulent, or chargeback orders.
  • Self-purchases using your own affiliate code are prohibited and will not earn commissions.

CloudOp reserves the right to modify commission structures, discount amounts, and payout schedules at any time.

6. Payouts

Commission payments are issued according to the payout schedule listed within the affiliate portal. To receive payouts:

  • You must provide accurate payment information (such as PayPal, bank details, or payment method requested).
  • You are responsible for any payment processing fees.
  • You must provide tax information if required by law (e.g., form W-9 for U.S. affiliates).

CloudOp will not issue payment until all required information has been submitted and validated.

7. Taxes

Affiliates are solely responsible for reporting and paying taxes on any commissions or earnings received through the Program. CloudOp does not provide tax, legal, or financial advice.

8. Affiliate Codes and Discounts

Affiliates receive a unique code that provides a discount to customers and tracks commissionable sales. Rules:

  • Codes may not be altered, resold, or shared on coupon websites.
  • Codes may not be posted on unauthorized third-party discount platforms.
  • CloudOp may change discount percentages or code structures at any time.
  • CloudOp may deactivate or modify codes at its discretion.

9. Content Rights and Usage

By participating in the Program, you grant CloudOp a non-exclusive, royalty-free, worldwide right to:

  • Use, repost, share, modify, or repurpose any content you create that features CloudOp products.
  • Use your name, image, likeness, or statements for marketing and promotional purposes, with or without attribution.

If you do not agree to this, you should not participate in the Program.

10. Brand Protection

Affiliates must uphold CloudOp’s brand standards. This includes:

  • Maintaining a respectful and professional presence online.
  • Avoiding behavior that damages CloudOp’s reputation, credibility, or trust.
  • Refraining from controversial or inappropriate public conduct while representing CloudOp.

CloudOp may remove any Affiliate associated with negativity, conflict, or behavior inconsistent with the brand’s values.

11. Term and Termination

Your participation begins once approved and continues until terminated by either party. CloudOp may terminate your participation immediately if:

  • You violate these Terms.
  • Your conduct reflects poorly on the brand.
  • You engage in fraud or misuse of codes.
  • You stop actively promoting CloudOp.
  • We decide to discontinue or restructure the Program.

Upon termination:

  • Affiliate Codes will be deactivated.
  • Pending commissions may be voided for violations or fraudulent activity.
  • You must remove all CloudOp branding, links, and promotions immediately.

12. Limitation of Liability

To the fullest extent permitted by law:

  • CloudOp is not liable for indirect, incidental, or consequential damages arising from the Program.
  • CloudOp makes no guarantees regarding earnings, traffic, or conversions.
  • Participation is voluntary and at your own risk.

13. Modifications to the Program

CloudOp reserves the right to:

  • Update or modify these Terms at any time.
  • Change commission rates, discount amounts, or program structure.
  • Suspend or discontinue the Program entirely.

Changes will be effective upon posting. Continued participation constitutes acceptance of updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the State of [Insert State], without regard to conflict-of-law principles.

15. Acceptance of Terms

By applying to or participating in the CloudOp Affiliate Program:

  • You acknowledge that you have read and understood these Terms.
  • You agree to comply with all requirements and responsibilities outlined.
  • You consent to the use of electronic records for acceptance and documentation.

If you do not accept these Terms, do not submit an application.
