Subscription Terms & Conditions

These Subscription Terms ("Subscription Terms," "Agreement") govern your participation in CloudOp Nutrition's recurring-order / auto-ship / subscription services (the "Subscription Service"). By activating, continuing, or using the Subscription Service, you agree to be bound by these Subscription Terms, plus any relevant terms in our general Terms of Use, Terms of Sale, Privacy Policy, and other policies incorporated by reference.


1. About the Subscription Service

CloudOp Nutrition offers customers the opportunity to enroll in a Subscription Service for certain products, whereby eligible products are shipped to you automatically at a regular interval you select (e.g., every 30, 45, 60 days, or as otherwise specified). Subscription orders are processed and fulfilled under these Subscription Terms, and each order is treated as a separate sale, subject to our standard product-sale terms (pricing, shipping, returns, disclaimers, etc.).


2. Eligibility & Account Requirements

To enroll in the Subscription Service, you must be at least 18 years old and legally capable of entering into a contract. You must create and maintain an active CloudOp Nutrition account ("Account") to manage your subscription. The information you provide must be accurate, current, and complete. You are responsible for all activity under your Account, including payment, shipping, address changes, and order modifications or cancellations.


3. Enrollment, Authorization & Recurring Billing

By subscribing, you authorize CloudOp Nutrition to store your payment method and to charge your payment method automatically at each renewal interval selected. Charges will include the price of the products, applicable taxes, shipping charges, and any other fees or adjustments. Recurring charges will occur until you cancel the subscription, as described below. If your payment method fails or is invalid, we may attempt to retry payment, pause, or cancel your subscription at our discretion.


4. Subscription Pricing, Changes & Promotions

Prices listed at the time you subscribe remain valid for that order. Future subscription orders may reflect updated pricing, shipping rates, taxes, or fees. CloudOp Nutrition reserves the right to modify subscription pricing, product offerings, shipping, promotions, discounts, or any other financial or promotional term at any time. When feasible, we will notify you of material changes to subscription pricing or terms before the next billing cycle. Continued use constitutes acceptance of those changes.


5. Modification, Suspension & Product Availability

You may modify your subscription — including changing product type, quantity, shipping frequency, payment method, or shipping address — via your Account portal. Modifications must be made before the processing date of the next scheduled shipment to take effect for that shipment. If a subscribed product becomes unavailable, backordered, or discontinued, CloudOp Nutrition may: (1) delay shipment until it becomes available, or (2) offer a substitute product of comparable type/value, or (3) cancel the subscription for that product. You may be notified of such changes when feasible; nonetheless, CloudOp Nutrition is not liable for delays or unavailability.


6. Cancellation & Termination by You

You may cancel your subscription at any time through your Account dashboard or by contacting support, provided cancellation occurs before the processing date of the next scheduled shipment. Cancellation prevents future renewals; however, orders already processed or shipped prior to cancellation are subject to our standard Terms of Sale / Return Policy. Partial cancellations (e.g., reducing quantity) follow the same timing rule — changes must occur before processing date to apply to the next shipment.


7. Cancellation, Suspension & Termination by CloudOp Nutrition

CloudOp Nutrition reserves the right to suspend or terminate your subscription at any time, with or without notice, for reasons including but not limited to: non-payment, repeated payment failure, or invalid payment method; suspected fraud or fraudulent activity; abuse of promotions, discount codes, or subscription system; discontinuation of products, supply chain issues, or other operational constraints; or violation of CloudOp Nutrition's Terms of Use, Terms of Sale, or other policies. Termination or suspension does not relieve you of any charges or obligations resulting from orders already processed.


8. Shipping, Delivery & Risk; Title Transfer

Each subscription order will be fulfilled under the same shipping and delivery terms as standard product orders. Estimates provided for delivery are not guaranteed. Risk of loss and title to the products generally pass to you at the time of delivery (or dispatch, depending on shipping method). CloudOp Nutrition is not liable for delays, loss, damage, or failure to deliver due to carriers, customs, force majeure events, or other external conditions.


9. Returns, Refunds & Exchanges for Subscription Orders

Subscription orders follow the same Return & Refund Policy as one-time purchases — unless otherwise stated. Due to hygiene and safety reasons (common for consumable goods), opened or used products may not be eligible for return or refund. Canceled subscription shipments may not be refundable once processing or shipping has begun, unless otherwise specified.


10. Promotional Offers, Discounts & Loyalty Benefits

Any promotional price, discount code, or loyalty benefit applied at the time of subscription may be limited to the initial order or have eligibility conditions. Such promotions may be modified, revoked, or rescinded at CloudOp Nutrition's discretion. If a promotion is removed or changed, the standard price will apply to future renewals (unless otherwise stated). Use of promotions or benefits constitutes acceptance of any additional terms or restrictions communicated at offer time.


11. Communications & Notifications

By enrolling in Subscription Service, you consent to receive email (or other) notifications regarding subscription status, upcoming charges, shipping updates, backorder alerts, product substitutions, pricing changes, and other relevant information. Notifications sent to the contact information associated with your Account are considered effective immediately. You are responsible for keeping your contact and payment info up to date.


12. Cancellation by Customer — No Penalty for Timely Cancellation

Provided you cancel before the processing date for the next scheduled shipment, you will not incur any penalty or further charges beyond what has already been processed. No long-term commitment or minimum subscription length is required, unless explicitly stated at time of subscription.


13. No Guarantee of Product or Program Continuity

CloudOp Nutrition does not guarantee perpetual availability of any product, price point, subscription interval, or benefit. We may discontinue any product or change subscription structure at our discretion. If we discontinue a product under subscription, we will either offer a comparable substitute (if available) or cancel that product's subscription component — subject to Section 5 above.


14. Integration with Terms of Sale, Terms of Use & Other Policies

These Subscription Terms work in conjunction with — and are in addition to — our general Terms of Use, Terms of Sale, Return Policy, Privacy Policy, and any other applicable policy. In case of conflict between this Subscription Terms document and other policies, the order of precedence will be: (1) Subscription Terms for subscription-related issues, then (2) Terms of Sale for sale-related issues, then (3) Terms of Use.


15. Amendment, Updates & Notification

CloudOp Nutrition may modify or update these Subscription Terms at any time, in our sole discretion. When changes are made, we will update the "Last Updated" date at the top of this page. Continued use of the Subscription Service after changes are posted constitutes acceptance. We will use reasonable efforts to notify you of material changes (e.g. via email), but it remains your responsibility to review the document periodically.


16. Limitation of Liability & Disclaimers

Except as expressly provided, CloudOp Nutrition disclaims all warranties and representations with respect to Subscription Service, products, pricing, availability, delivery, and customer communications. We will not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your subscription, subscription cancellations, product unavailability, substitutions, shipping delays, payment failures, or price changes. Your sole remedy for dissatisfaction or issues is to cancel your subscription and, if applicable, receive refunds according to our standard Return Policy.


17. Governing Law & Dispute Resolution

These Subscription Terms are governed by the laws of the State of Texas (or the state in which CloudOp Nutrition is registered). Any dispute arising under or related to these Subscription Terms — including orders, cancellations, payments, or product issues — shall be resolved under the dispute-resolution provisions set forth in our main Terms of Use (e.g., arbitration clause, class-action waiver, if applicable).


18. Severability, Waiver & Entire Agreement

If any provision of these Subscription Terms is declared invalid or unenforceable, the remainder of the Agreement remains in full force. No waiver of any right under these Subscription Terms is effective unless in writing; failure to enforce a provision does not constitute waiver. This document, together with linked policies (Terms of Use, Terms of Sale, Return Policy, Privacy Policy) constitutes the entire agreement between you and CloudOp Nutrition regarding the Subscription Service.
